Abstract

The present paper was initially thought for a Conference on the role of shareholders meetings of Spanish stock-listed companies. Even if it could seem topical to affirm that general meetings in these companies has lost the actual power that the legislator confers to them and has passed to be controlled only by the directors, extensive data to this respect can show to what extent this devaluation of the initial role of these meetings is real. For this purpose, we have divided the analysis in different sections inspired on the operation of a shareholder meeting. The main sources have been the 2004 & 2005 Corporate Governance reports for the companies listed at the IBEX 35. This data has also been analysed on the premises of the European initiative to reinforce the rights of the shareholders at the general meetings.
