Résumé
Correct corporate management of companies does not only avoid potential cases of corruption but also improves business competitiveness. To the other extreme, poor corporate management may lead directors to take decisions that are contrary to the interests of investors and other stakeholders in the company. Short-term decisions that are purely self-serving prevent the maintenance and improvement of intangible factors decisive for competitiveness. For this reason it is necessary to err towards more socially responsible business management that grants greater control by the stakeholders and towards a more active role of the state with regards to supervision and control.
