Abstract
Short-termism and lack of engagement of shareholders have contributed to a fragile corporate governance during the crisis. From the European Union, it has been tried to solve these failures through a proposal to reform the Directive 2007/36/CE as regards the encouragement of long-term shareholder engagement. The aim of this paper is to present a preliminary review of the main changes in order to break the obstacles to engagement due to cross border investments or shareholder apathy as well as reinforcing a long term investment strategy.
