Abstract
The objetive of this work is to analyze the design process of managers' compensation as an important mechanism to retain valuable intangible resources as well as an instrument to align the managers' interest with the owners. A wide viwe of the empirical works in this area as well as the opinions of the human resource managers surveyed were used to elaborate the proposed model. The existing differences between spanish practices in compensation and northamerican ones were stressed throughout the development of the framwwork
