The draft Insolvency Law of January 2022 adapts Directive (EU) 2019/1023 to Spanish law. It provides for the participation of the shareholders of public and private limited companies in the restructuring plans that it regulates through a special resolution of the general shareholders meeting. The paper studies the legal regime of this general meeting: characterization, convening, constitution and voting of resolutions.
